iConnections’ Live Experience Terms

Effective Date: February 20, 2026

These Live Experience Terms (“Event Terms”) govern participation in conferences, meetings, and other events hosted or facilitated by iConnections LLC (“iConnections,” “we,” or “us”), whether in-person or virtual. These Event Terms apply to all attendees, registrants, and participants (“Attendee” or “you”), regardless of whether Attendee has a separate agreement with iConnections.

By registering for an Event, Attendee agrees to these Event Terms, the iConnections Code of Conduct, and the Privacy Policy (available at www.iconnections.io/legal). For Attendees whose participation is covered by a company Order Form, registration and payment terms are governed by that Order Form.

These Event Terms are in addition to, and do not supersede, the Master Terms of Service. In the event of any conflict, the Master Terms shall control for matters relating to the overall business relationship; these Event Terms shall control for matters specific to Event participation.

1. EVENT MODIFICATIONS & CANCELLATION

1.1 Right to Modify. iConnections reserves the right to modify Event dates, times, venues, format (in-person, virtual, or hybrid), speakers, agenda, and other details at any time without liability.

1.2 Event Cancellation or Postponement. If iConnections cancels or postpones an Event for any reason, iConnections shall permit Attendee to attend the rescheduled Event or alternative regional or virtual event(s), at no additional cost, as iConnections, in its sole and absolute discretion, deems appropriate. iConnections shall solely determine the number and type of replacement offerings. No refunds shall be provided for cancelled or postponed Events.

1.3 Failure to Attend Replacement. If Attendee fails to reserve, attend, or appear at iConnections-determined replacement offerings, Attendee shall not be entitled to any compensation, refund, or credit.

1.4 Transfer Request. If Attendee cannot attend a rescheduled Event, Attendee may request in writing, in advance, the application of registration value to another iConnections event occurring within twelve (12) months. Approval of such requests is at iConnections’ sole discretion.

1.5 Force Majeure. iConnections shall not be liable for cancellation, postponement, or modification of any Event due to circumstances beyond its reasonable control, including but not limited to: acts of God; natural disasters; severe weather (including hurricanes, tropical storms, blizzards, ice storms, flooding, or other extreme weather conditions); transportation disruptions (including airline cancellations, airport closures, road closures, or other travel interruptions); utility or infrastructure failures; war, terrorism, or civil unrest; government actions, orders, or travel advisories; epidemics, pandemics, or public health emergencies; venue unavailability; speaker or key participant unavailability; or other events beyond iConnections’ reasonable control.

2. ATTENDEE CONDUCT

2.1 Code of Conduct. Attendee agrees to comply with the iConnections Code of Conduct (available at www.iconnections.io/legal) at all times during the Event and related activities, including social functions, off-site events, and digital platforms.

2.2 Professional Behavior. Attendee shall conduct themselves in a professional and respectful manner. Attendee shall not engage in any behavior that is disruptive, harassing, discriminatory, threatening, or otherwise inappropriate.

2.3 Compliance with Laws and Venue Rules. Attendee shall comply with all applicable laws, regulations, and venue policies during the Event, including health and safety requirements.

2.4 Removal and Ejection. iConnections reserves the right, in its sole discretion, to remove or deny entry to any Attendee who violates these Event Terms, the Code of Conduct, venue policies, or engages in behavior that iConnections deems inappropriate, unsafe, or disruptive. No refund or credit shall be provided in such cases.

2.5 Reporting. Attendees are encouraged to report any concerns or violations to iConnections staff immediately.

3. HEALTH & SAFETY

3.1 Health Requirements. iConnections may implement health and safety protocols for Events, which may include vaccination requirements, testing, mask mandates, health screenings, or other measures. Attendee agrees to comply with all such requirements as a condition of attendance.

3.2 Personal Responsibility. Attendee is responsible for evaluating their own health risks and making informed decisions about Event attendance. Attendees who are experiencing symptoms of illness should not attend in-person Events.

3.3 No Liability for Illness. iConnections does not guarantee a disease-free environment and shall not be liable for any illness, injury, or health condition arising from Event attendance.

4. ASSUMPTION OF RISK & RELEASE

4.1 Assumption of Risk. Attendee acknowledges that participation in the Event, whether in-person or virtual, involves inherent risks. For in-person Events, these risks include but are not limited to: travel-related risks, exposure to communicable diseases, slips and falls, food allergies, and interaction with other attendees. Attendee voluntarily assumes all such risks.

4.2 Release and Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, ATTENDEE HEREBY RELEASES, WAIVES, AND DISCHARGES ICONNECTIONS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SPONSORS, AND VENUE PARTNERS FROM ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, OR EXPENSES ARISING FROM OR RELATED TO ATTENDEE’S PARTICIPATION IN THE EVENT, INCLUDING CLAIMS FOR PERSONAL INJURY, ILLNESS, DEATH, OR PROPERTY DAMAGE.

4.3 Indemnification. Attendee agrees to indemnify, defend, and hold harmless iConnections from any claims, damages, or expenses (including attorneys’ fees) arising from Attendee’s breach of these Event Terms, violation of any law, or negligent or wrongful conduct. For Attendees subject to a Master Terms of Service, any indemnification obligations shall be subject to the limitations set forth therein.

5. ADDITIONAL RISKS & DISCLAIMERS

5.1 Alcohol. Alcoholic beverages may be served at Event functions. Attendee assumes all risks associated with alcohol consumption and agrees to drink responsibly. iConnections is not liable for any injuries, damages, or incidents arising from Attendee’s consumption of alcohol or the conduct of intoxicated individuals.

5.2 Recreational Activities. Optional activities (including but not limited to golf, excursions, water activities, spa services, or fitness activities) carry inherent risks of injury or death. Participation in such activities is entirely voluntary. Attendee participates at their own risk and releases iConnections from all claims arising from such activities.

5.3 Transportation. Any transportation provided or arranged by iConnections (including shuttles, car services, or group transport) is provided as a courtesy. iConnections is not liable for delays, accidents, injuries, or incidents occurring during such transportation.

5.4 Personal Property. iConnections is not responsible for lost, stolen, or damaged personal property at any Event venue or activity. Attendees are advised to safeguard their belongings.

5.5 Guests and Companions. Attendee is responsible for ensuring that any spouse, guest, companion, or other individual accompanying Attendee to Event functions complies with these Event Terms and the Code of Conduct. Attendee shall be liable for the acts, omissions, and conduct of their guests as if such conduct were Attendee’s own.

5.6 Investment Disclaimer. The Event facilitates introductions and networking opportunities only. iConnections does not provide investment advice, recommend any particular investment, endorse any fund, manager, or allocator, or evaluate the merits of any investment opportunity. All investment decisions are made solely between the relevant parties, and Attendee acknowledges that iConnections bears no responsibility for any investment outcomes.

5.7 Prohibited Items. Illegal substances and other dangerous items are strictly prohibited at all Event venues and activities. Violation may result in immediate removal and notification of law enforcement.

5.8 Insurance. iConnections does not provide insurance coverage for Attendees. Attendees are strongly encouraged to maintain appropriate travel, health, and personal liability insurance.

6. LIMITATION OF LIABILITY

6.1 Disclaimer. THE EVENT IS PROVIDED “AS IS.” ICONNECTIONS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE EVENT, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2 No Guarantee of Results. iConnections does not guarantee any specific outcomes, introductions, meetings, or business results from Event participation. The Event provides networking opportunities; any investment or business decisions are solely Attendee’s responsibility.

6.3 Limitation. IN NO EVENT SHALL ICONNECTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE EVENT. TO THE EXTENT PERMITTED BY LAW, ICONNECTIONS’ TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE EVENT SHALL NOT EXCEED THE REGISTRATION FEES PAID BY ATTENDEE (OR ATTENDEE’S COMPANY) FOR THE APPLICABLE EVENT.

6.4 Third Parties. iConnections is not responsible for the acts or omissions of third parties, including venues, vendors, speakers, sponsors, or other attendees.

7. INTELLECTUAL PROPERTY & RECORDINGS

7.1 iConnections Content. All Event content, materials, presentations, recordings, and branding are the property of iConnections or its licensors. Attendee may not record, photograph, livestream, reproduce, distribute, or create derivative works of Event content without iConnections’ prior written consent.

7.2 Consent to Recording. Attendee consents to being photographed, filmed, recorded, and livestreamed by iConnections during the Event. iConnections may use such recordings for promotional, marketing, educational, and archival purposes in perpetuity, without compensation to Attendee.

7.3 Social Media. Attendee may share their own experience on social media but shall not post content that violates the Code of Conduct, discloses confidential information, or infringes on others’ rights.

7.4 Use of iConnections Branding. Attendee may only use iConnections’ name, logo, trademarks, and branding elements by using official assets from the iConnections Media Kit (available at www.iconnections.io/media-kit). If iConnections identifies any non-compliant use, Attendee agrees to promptly remove or correct it upon request. Continued misuse after notice may result in removal from iConnections events. iConnections reserves all rights in its trademarks and branding.

8. CONFIDENTIALITY

8.1 Confidential Information. Information shared during the Event, including presentations, discussions, and attendee information, may be confidential. Attendee agrees not to disclose confidential information obtained at the Event without the consent of the disclosing party.

8.2 Chatham House Rule. Certain sessions may be designated as operating under the Chatham House Rule, meaning participants may use information received but may not reveal the identity or affiliation of the speaker(s) or other participants.

8.3 Attendee Information. Attendee acknowledges that their name, company, and contact information may be shared with other Event attendees, sponsors, and exhibitors for networking purposes, in accordance with the Privacy Policy.

9. PRIVACY & DATA

9.1 Privacy Policy. Attendee information will be collected and processed in accordance with the iConnections Privacy Policy (available at www.iconnections.io/legal).

9.2 Event Platforms. The Event may utilize third-party platforms, apps, or services. Attendee’s use of such services is subject to the applicable third-party terms and privacy policies.

10. VIRTUAL EVENT PARTICIPATION

10.1 Technical Requirements. For virtual or hybrid Events, Attendee is responsible for ensuring adequate internet connectivity, hardware, and software to participate.

10.2 Virtual Conduct. All conduct requirements apply equally to virtual participation. Screen sharing, recording, or capturing virtual Event content without authorization is prohibited.

10.3 No Technical Guarantee. iConnections does not guarantee uninterrupted or error-free virtual Event access and shall not be liable for technical difficulties beyond its reasonable control.

11. GENERAL PROVISIONS

11.1 Entire Agreement. These Event Terms, together with the Code of Conduct and Privacy Policy (available at www.iconnections.io/legal), constitute the entire agreement regarding Event participation. For Attendees who are also iConnections members or sponsors, the Master Service Agreement and applicable Order Form also apply; in the event of conflict, the Master Service Agreement controls.

11.2 Amendments. iConnections may update these Event Terms at any time by posting the revised version at www.iconnections.io/legal.

11.3 Governing Law. These Event Terms shall be governed by the laws of the State of Delaware, without regard to conflicts of law principles.

11.4 Dispute Resolution. Any dispute arising from Event participation shall be resolved in accordance with the dispute resolution provisions of the Master Terms of Service, if applicable. If no Master Terms apply, disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Wilmington, Delaware. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS, NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

11.5 Severability. If any provision is held unenforceable, the remaining provisions shall continue in full force and effect.

By attending an iConnections Event, Attendee acknowledges that they have read, understood, and agree to be bound by these Live Experience Terms.
